Article 1 (Scope of Application)

These terms of use (the "Terms") shall apply to all acts performed by Users in using the Catalog Pocket Service (the "Service"), to be provided by Morisawa Inc. (the "Company"). Users shall be deemed to have accepted all provisions of the Terms when they commence use of the Service. Users who do not accept the Terms shall refrain from using the Service.

Article 2 (Presentation and Revision of Terms)

  1. The Terms will be available to Users as needed through publication on the Catalog Pocket website providing this service (https://www.catapoke.com) (the "Website") and through other means.

  2. The Company may add to, alter, or delete ("Revise") the Terms at its own discretion.

  3. In the event of any Revision to the Terms, the Company shall inform the effective date and content of the Revised Term by posting on the Website or other appropriate way.

  4. The Revised Terms shall become effective on the effective date set forth in the preceding paragraph.

Article 3 (License)

  1. Users may download the data, information, text, statements, software, etc. provided through the Service (the "Content") by the means determined by the Company and use it in accordance with the Terms.

  2. Users may use Offerings in the Service for personal use only.

  3. In cases where any part of Content (the "Offering") is deemed by the Company to be contrary to public order and morals, or otherwise unsuitable for transmission, the Company may terminate provision of such Offering in the Service, and delete the Offering from Users' devices. In such cases, the Company shall assume no liability for any damage caused to Users or third parties due to such termination and deletion.

  4. With regards to part of the Contents provided through the Service, Users may only use these Contents provided that Users enter login-ID and password (collectively "ID and Password") in the Service.

  5. ID and Password are assigned to Users by a third party who creates or/and distributes the Contents set forth in the preceding paragraph.

  6. Users shall be responsible for keeping ID and Password strictly according to instructions of a third party set forth in the preceding paragraph.

  7. In case the Contents are used by someone entering ID and Password in the Services, the Company regards it as Users using the Contents. THE COMPANY SHALL NOT BE LIABLE FOR THAT CASE WHETHER USERS USE THE CONTENTS OR SOMEONE ELSE USE THE CONTETNS BY ENTERING ID AND PASSWORD IN THE SERVICES

Article 4 (Copyright and Trademark Rights)

  1. Any copyright in all works provided in the Content shall belong to the Company or third parties.

  2. Users may use the works prescribed in the preceding paragraph only within the scope set forth in the Terms, or any other terms and conditions established for any of the works, or in the Japanese Copyright Act.

  3. All trademarks, service marks, and logos contained in the Service shall be trademarks or registered trademarks of the Company or third parties. Users shall be prohibited from using such trademarks without approval of the trademark holder.

  4. Users shall not have any third party conduct any act contrary to any of the preceding paragraphs.

Article 5 (No Assignment)

Users shall not assign, offer as collateral to a third party, or otherwise dispose of their rights or obligations as users of the Service.

Article 6 (Prohibited Acts)

In connection with the Service, Users shall not perform:

  1. any act which is not permitted by the Company, including, but not limited to, reproduction, transfer, loan or public transmission, in connection with the Content provided in the Service, or any act of having a third party perform the acts stated above;

  2. any act which infringes or may infringe copyrights, trademark rights, or other intellectual property rights of the Company or third parties;

  3. any act of using the Service for purposes beyond the scope of personal use (including, but not limited to, making the Service available to the public in Users' shops and offices) or other than personal use (including, but not limited to, use for the purpose of profit, or for other commercial purposes);

  4. any act which violates or may violate property rights, privacy, portrait rights, or any other rights or interests of third parties;

  5. any act of transmitting or showing images and documents that are obscene, or categorized as child pornography or child abuse;

  6. any act of impersonating a third party to make use of the Service;

  7. any act of transmitting harmful computer programs, or making such programs receivable by third parties;

  8. any act that interferes with, or may interfere with, operations through unauthorized access to facilities for the Service (which shall hereinafter refer to telecommunications equipment, electronic computing equipment, and other instruments and software provided by the Company for the purpose of providing the Service), or facilities of third parties;

  9. any act of reverse engineering the Website to use it for unlawful purposes;

  10. any act of obstructing operations of the Service;

  11. any act of defaming or harming the credit of the Company;

  12. any act of causing disadvantage or damage to the Company or third parties;

  13. any act that is otherwise against laws and regulations, the Terms, or public order and morals.

Article 7 (Suspension of Use)

  1. In cases where a User falls under any of the following items, the Company may suspend the User’s use of all or part of the Service, or restrict the User’s access to the Service, even without the User’s consent. In such cases, the Company shall assume no liability for any damage caused to the User or third parties.

    1. If the User violates the Terms or any other rules set forth by the Company.

    2. If the User fails to perform any obligation in connection with the Service.

    3. If the prohibited acts in the previous article are engaged in.

    4. If the User is otherwise deemed unfit by the Company.

  2. If the Company incur damages because Users have violated the previous article or any of the items in paragraph 1 of this article, the Company may ask that Users to compensate for those damages whether or not the Terms has been rescinded.

Article 8 (User’s Responsibility for Equipment)

  1. Users shall be responsible for arranging all equipment, telecommunications equipment, computers and software required for the use of the Service, and all other equipment associated therewith, at their own expense, and to become ready to use the Service.

  2. The Company shall provide information separately concerning the environment for using the Service (the "Use Environment").

  3. Users shall acknowledge that the Service may not be used if the Users' facilities do not meet the Use Environment specified by the Company. Users shall further acknowledge that the Service may not be usable, depending on the Use Environment or setting of a computer unique to the Users, even if the Use Environment specified by the Company has been provided.

  4. Users shall connect to the Service via their telecommunications service at their own expense, and upon their own responsibility.

  5. Users shall take security measures appropriate for their Use Environment at their own expense, and upon their own responsibility.

Article 9 (Principles of Self-responsibility)

  1. Users shall use the Service upon their own responsibility, and the Company shall not make any warranty as to the content, accuracy, completeness, reliability, usability and continuity, etc., of Content. The Company shall not be obliged to compensate for damage caused to Users through their use of the Service.

  2. If Users need to make an inquiry to, or have a legal dispute with, a third party (including, but not limited to, the provider of Content) in connection with the use of the Service, the Users shall settle the matter directly with such a third party, and the Company shall not be involved or accept any responsibility.

  3. In cases where Users cause damage to the Company or a third party through the use of the Service (including damage caused by the Users' failure to perform their obligation under the Terms), the Users shall compensate for damage, loss, and expenses incurred by the Company (including litigation costs and reasonable attorney fees) at their own expense, and upon their own responsibility.

  4. The Company shall not warrant complete security (including, but not limited to, total elimination of computer virus infection, transmission of spam email, or attacks such as cracking) in connection with Content in the Service.

  5. Notwithstanding the foregoing, any terms of this Agreement, including the terms of this section, shall not exempt the Company from liability to Users for damages caused by the Company's intentional acts or gross negligence, whether in contract or any other legal theory.

Article 10 (Transaction with Third Parties)

Transactions conducted by Users with a third party on the basis of any Content shall be direct transactions between the Users and said third party. The Company shall assume no responsibility for transactions conducted by Users with a third party on the basis of any Content, the content of third party products/services on which information is provided or which are promoted or advertised, and websites linked from the Site which are operated by third parties. In the event of any troubles concerning the matters mentioned above, they shall be settled between the Users and the relevant third party.

Article 11 (Temporary Suspension of Service)

  1. In the event of any of the following items, the Company may temporarily suspend the Service without giving any prior notice to Users.

    1. When maintenance or servicing of facilities for the Service is conducted.

    2. If provision of the Service is rendered impossible by fire, earthquake, eruption, flood, tsunami, or any other natural disaster.

    3. If provision of the Service is rendered impossible due to war, strife, riot, disturbance, labor dispute, terrorist acts, or large-scale hacking.

    4. If the Company otherwise determines that provision of the Service should be temporarily suspended due to operational or technical reasons.

  2. The Company shall make efforts to ensure that the Service will be continuously operated in accordance with the specifications set forth by the Company, but shall not warrant that the Service will be available at all times.

  3. The Company shall assume no liability for any damage caused to Users or third parties due to delay/interruption of provision or disconnection of the Service arising from any of the items of the first paragraph, or any other cause.

Article 12 (Protection of Privacy)

The privacy policy of the Company (https://www.morisawa.co.jp/privacy-policy) sets forth the handling of Users' information and privacy protection in connection with the use of the Service. Users shall agree that the Company may collect and utilize information on the Users in accordance with the Company’s privacy policy concerning the Users, for the purpose of facilitating, maintaining, or improving the Service.

Article 13 (Acquisition and Utilization of Use Information)

  1. The Company may automatically collect Use Information listed below in the Service for the purpose of using such information to facilitate the provision thereof, to maintain and improve the Service, to promote marketing and distribute targeted advertisements, or for the purpose of supplying such information via transmission to the provider of Content.

    3. Latitude and longitude

    4. Browsing information

      1. Page viewing time

      2. Hyperlink (URL) click information

      3. Search string

      4. Zoomed part within a page

      5. Display language

  2. Users may refuse collection of their Use Information when or after they commence use of the Service. Users may commence or continue to use the Service even if they refuse collection of their Use Information.

  3. The Company shall manage Use Information strictly separate from Users' personal information, and shall not use the Use Information in direct association with said personal information.

  4. Cookies (digital data sent to Users when Users access a website and saved on their device) are used on this service as follows.

    1. If Users accept cookies, usually their web browser will automatically save cookies. Then when Users view our website again, the Company will check their saved cookies to collect information about their access.

    2. The Company use cookies for: 1) maintaining and improving our website service and analyzing data to improve our service, 2) recording information Users enter on our website (so Users do not have to enter the same information again), and 3) analysis and ad distribution using the later mentioned third party tools.

    3. If Users do not want their information collected through cookies, many web browsers can be configured to suspend or limit the cookie feature. However, if Users suspend or limit cookies, Users may experience inconveniences such as being unable to stay logged in to our website.

    4. The Company use the following third party services that employ technologies like cookies in order to analyze data to improve the website the Company manage, distribute ads like targeted ads, and distribute content.

    2. The Company use Google Analytics to measure use of the access analysis app on this service and to improve the quality of the app.

  6. Users may contact the Company (catalogpocket-support@morisawa.co.jp) via email with questions or inquiries in regards to Use Information.

Article 14 (Termination of Service)

The Company may terminate all or part of the Service after giving Users prior notice, within a reasonable period of time. Such notice shall be given in the form of a post on the website, or by any other reasonable method. The Company shall assume no liability for damage (if any) caused to Users due to such termination.

Article 15

Users represent and warrant to the Company that:

  1. Users did not and do not belong to a so-called “Anti-Social Body” which includes, but is not limited to, a gangster organization, a yakuza organization, a crime syndicate, or terrorist group, corporate extortionist (sokaiya), a socially-branded racketeering organization (shakaiundoto-hyobo-goro), an organized crime related specialist (tokushu chinou boryoku shudan), or any other person comparable to the foregoing;

  2. Users do not use such Anti-Social Body;

  3. Users do not operate or cooperate with the operation of an Anti-Social Body through any direct or indirect activities, such as providing money to an Anti-Social Body;

  4. Users do not have a relationship with any Anti-Social Body; and

  5. Users do not by itself or through a third party, use violence or threatening or deceptive wordings, conduct business interference, or defame or destroy the trust of the Company or a third party, to the Company or the third party.

Article 16 (Dispute Resolution)

Matters not stipulated herein, or questions as to the Terms or use of the Service, shall be settled through mutual consultation in good faith.

Article 17 (Exclusive Jurisdiction)

The Tokyo District Court shall have exclusive primary jurisdiction with respect to actions arising from all disputes between Users and the Company.

Article 18 (Governing Law)

The Terms and any dispute related thereto shall be governed by the laws of Japan.
